Términos para Proveedores de Tail Sourcing

Versión 1.0 – 9 de octubre de 2026

  • (a) productos o servicios cuya venta, importación, exportación, posesión o comercialización sea ilegal conforme a la ley aplicable en el país de origen o de destino;

  • (b) productos falsificados, imitaciones, réplicas no autorizadas o cualquier mercancía que infrinja derechos de propiedad intelectual de terceros;

  • (c) productos, servicios o tecnología sujetos a sanciones o restricciones de la OFAC u otras sanciones aplicables, o destinados a personas, países o territorios sancionados;

  • (d) armas de fuego, municiones, explosivos, sus partes y accesorios, y demás armas;

  • (e) sustancias controladas, estupefacientes, psicotrópicos y sus precursores, así como la parafernalia relacionada;

PART II – ENGLISH

Tail Sourcing Supplier Terms

Version 1.0 – 9 October 2026

1. Who we are and scope

1.1 These Supplier Terms (the "Terms") govern access to and use of the Tail Sourcing supplier portal at supplier.tailsourcing.com and related services (together, the "Platform") by any business that registers as a supplier (the "Supplier", "you").

1.2 The Platform is operated by Alsea Trading Group LLC, a Florida limited liability company doing business as Tail Sourcing ("Tail", "we", "us"), located at 19505 Blvd Biscayne, Suite 2350, Aventura, FL 33180, USA.

1.3 Tail Sourcing is a business-to-business (B2B) procurement platform. Buyers use the Platform to run RFX processes (requests for information, proposal and quotation, including RFQs) and to make purchases; Suppliers create a profile, publish products and catalogs, and respond to RFQs.

1.4 These Terms supplement any general terms of use of the Platform and Tail's Privacy Policy. If you and Tail have signed a separate written agreement, that agreement prevails to the extent it conflicts with these Terms.

2. Definitions

  • Buyer: a business that uses the Platform to run RFX processes and/or purchase goods or services.

  • RFX / RFQ: a request for information, proposal or quotation published or sent by a Buyer through the Platform. "RFQ" refers specifically to a request for quotation.

  • Supplier Content: all information, data, text, prices, specifications, photographs, images, logos, trademarks, documents and other materials that the Supplier uploads or makes available on the Platform, including its profile and catalogs.

  • Supplier Global Catalog: the Supplier's product catalog that is visible, as configured on the Platform, to Buyers generally.

  • Supplier/Client Catalog: a catalog, price list or set of specific terms that the Supplier makes available to one or more specific Buyers.

  • Buyer RFX Information: all non-public information a Buyer shares through the Platform in connection with an RFX process, including requirements, quantities, specifications, budgets, timelines, identity of participants and attached documents.

3. Eligibility

3.1 The Platform is for business use only. Only duly incorporated or registered legal entities or merchants acting in the course of their trade, business or profession may register as Suppliers. The Platform is not intended for consumers.

3.2 The individual accepting these Terms on behalf of the Supplier represents and warrants that (a) they are of legal age, (b) they have full power and authority to bind the Supplier, and (c) the Supplier is not on any sanctions list and is not owned or controlled by sanctioned persons (see Section 7).

3.3 Tail may at any time request documentation evidencing the Supplier's existence, legal representation, tax identification, bank accounts, licenses or permits.

4. Account and invitation

4.1 For now, Supplier registration is by invitation from Tail or a Buyer only. Tail may accept or reject any registration in its discretion and may open registration to other suppliers in the future.

4.2 The Supplier is responsible for keeping its credentials confidential, for all activity under its account, and for ensuring that its authorized users comply with these Terms. The Supplier must notify Tail immediately of any unauthorized use of its account at sales@tailsourcing.com.

4.3 Invitations are personal and non-transferable. The Supplier may not sell, assign or share its account with third parties.

5. Supplier profile

5.1 The Supplier must provide and maintain complete, truthful, accurate and up-to-date profile information, including legal name, tax ID, address, contact details, product categories, capabilities, certifications and geographic coverage.

5.2 The Supplier may only claim certifications, accreditations, awards or business relationships that are current and verifiable, and must provide evidence on Tail's request.

5.3 The Supplier must promptly update its profile whenever any relevant information changes.

6. Catalogs and content rules

6.1 Accuracy. The Supplier is solely responsible for Supplier Content and warrants that prices, currencies, applicable taxes, availability, lead times, minimum order quantities, technical specifications, descriptions and other product information are accurate, current and not misleading. Prices published in the Supplier Global Catalog and in any Supplier/Client Catalog must be kept up to date.

6.2 Prohibited claims. The Supplier will not publish false, misleading, unsubstantiated or deceptive claims, including claims about origin, quality, certifications, performance, environmental impact or compatibility.

6.3 Third-party intellectual property. The Supplier may only use trademarks, logos, trade names, images, photographs, data sheets and other materials that it owns or for which it holds a sufficient license or authorization. Counterfeit, knock-off or otherwise infringing goods are prohibited.

6.4 Prohibited content. The Supplier will not publish unlawful, defamatory, discriminatory, obscene or malicious content (including malicious code), or third-party personal data without a lawful basis.

6.5 Moderation. Tail has no obligation to review Supplier Content before it is published, but may, in its discretion, review, hide, reformat, reject or remove any content it considers to violate these Terms or the law.

7. Prohibited and regulated goods; sanctions and export controls

7.1 The Supplier will not offer, list or supply through the Platform any of the following goods or services ("Prohibited Items"):

  • (a) goods or services whose sale, import, export, possession or marketing is illegal under applicable law in the country of origin or destination;

  • (b) counterfeit goods, knock-offs, unauthorized replicas or any goods that infringe third-party intellectual property rights;

  • (c) goods, services or technology subject to OFAC or other applicable sanctions or restrictions, or intended for sanctioned persons, countries or territories;

  • (d) firearms, ammunition, explosives, their parts and accessories, and other weapons;

  • (e) controlled substances, narcotics, psychotropic substances and their precursors, and related paraphernalia;

  • (f) hazardous materials or dangerous goods (for example, toxic, flammable, corrosive or radioactive substances) where the Supplier does not hold the permits, licenses, registrations, safety data sheets and packaging and transport conditions required by law; and

  • (g) protected wildlife or plants, or goods made in whole or in part with forced or child labor.

Tail may update this list and restrict or prohibit additional categories at any time.

7.2 Regulated goods (for example, medical devices, pharmaceuticals, chemicals, food, products containing lithium batteries, dual-use items) may only be offered if the Supplier holds all required licenses, registrations and permits and complies with applicable regulations. Tail may restrict or prohibit any category.

7.3 Sanctions. The Supplier represents and warrants that neither it nor its owners, officers or relevant employees (a) appear on the Specially Designated Nationals (SDN) list or other lists administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or on equivalent lists maintained by the United Nations, the European Union, the United Kingdom or other applicable jurisdictions; (b) are 50% or more owned or controlled by sanctioned persons; or (c) are located, organized or resident in a country or territory subject to comprehensive sanctions.

7.4 Export controls. The Supplier will comply with all applicable export and import control laws, including the U.S. Export Administration Regulations (EAR), and is responsible for classifying its products and obtaining any required licenses. The Supplier will not use the Platform to sell or supply goods, directly or indirectly, to prohibited persons, destinations or end uses.

7.5 The Supplier will notify Tail immediately if it ceases to comply with this Section. Tail may suspend or terminate the account immediately upon any breach or reasonable suspicion of breach.

8. Product safety, labeling and compliance

8.1 The Supplier is solely responsible for ensuring that its products are safe and comply with all applicable laws, technical regulations and standards in the countries of origin and destination, including safety, labeling, language, country-of-origin, packaging, instructions, warnings, statutory warranty, certification and sanitary registration requirements.

8.2 The Supplier will manage and bear the cost of any recall, safety notice or corrective action relating to its products and will notify Tail and affected Buyers without delay.

9. IP license to Tail

9.1 The Supplier retains ownership of Supplier Content. The Supplier hereby grants Tail a worldwide, non-exclusive, royalty-free license, sublicensable to Tail's service providers and to Buyers (only as necessary to operate the Platform), to host, store, reproduce, reformat (for example, resize images or translate descriptions), display, distribute and make available Supplier Content in order to operate, display, promote and improve the Platform.

9.2 This license allows Tail to display the Supplier's name, logo and trademarks to identify the Supplier within the Platform. Tail will not use the Supplier's name, logo or trademarks outside the Platform (for example, on websites, presentations, case studies or marketing materials) without the Supplier's prior permission.

9.3 The license ends once Supplier Content is removed from the Platform or the account is terminated, except for (a) backup copies retained for a reasonable period, (b) content incorporated into RFXs, quotes, orders or transaction records already sent to Buyers, and (c) anything that must be retained by law.

9.4 Tail and its licensors own all rights in the Platform, its software, design, the "Tail Sourcing" marks and aggregated data. Nothing in these Terms grants the Supplier any rights in them other than the limited right to use the Platform in accordance with these Terms. Tail may freely use any suggestions or feedback the Supplier provides about the Platform.

10. Intellectual property complaints (DMCA procedure)

10.1 Tail respects the intellectual property rights of others. If you believe that any content on the Platform infringes your copyright, trademark or other rights, send a notice to sales@tailsourcing.com with the subject line "IP Complaint" including: (a) your physical or electronic signature (or that of your authorized representative); (b) identification of the work or right claimed to be infringed; (c) identification of the allegedly infringing material and its location on the Platform (URL); (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the owner, its agent or the law; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf.

10.2 Tail may remove or disable access to the material and notify the relevant Supplier. The Supplier may submit a counter-notice to the same address under the Digital Millennium Copyright Act (17 U.S.C. § 512), and Tail may restore the material as provided by that law.

10.3 Tail may suspend or terminate the accounts of repeat-infringer Suppliers.

11. RFQs and Supplier responses

11.1 Buyers freely decide which Suppliers to invite, which RFXs to publish and to whom to award. Tail does not guarantee that the Supplier will receive RFQ invitations or be awarded any RFQ.

11.2 Binding nature. Unless the RFQ or the Supplier's response expressly states otherwise, a quote or offer submitted by the Supplier through the Platform is a firm offer to the Buyer, valid for the validity period stated in the quote or, if none is stated, for thirty (30) days from submission. The Supplier must honor the quoted prices, quantities and terms if the Buyer accepts the offer within its validity period.

11.3 The purchase or supply contract is formed solely between the Buyer and the Supplier, on the terms of the RFQ, the offer, the purchase order and any other document agreed between them. Tail is not a party to that contract unless expressly stated in writing.

11.4 The Supplier must respond to RFQs in good faith, without collusion with other suppliers or bid rigging, and in compliance with applicable competition law.

12. Relationship with Buyers; payments

12.1 Tail acts as a technology provider that facilitates contact and the management of procurement processes between Buyers and Suppliers. Unless expressly stated in writing, Tail is not a buyer, seller, distributor, agent, broker or guarantor for any party.

12.2 Payment terms, invoicing, taxes, delivery, transfer of risk, warranties, returns and claims are agreed directly between the Buyer and the Supplier, who are solely responsible for performance. Tail is not liable for any Buyer's non-payment, insolvency or breach.

12.3 Tail does not guarantee any volume of Buyers, RFQs, sales or revenue for the Supplier.

12.4 Tail may, without obligation, offer tools to help resolve disputes but is not responsible for their outcome.

13. "Verified" badge

13.1 The "Verified" badge only indicates that a Tail administrator manually approved the Supplier's profile under Tail's internal criteria in effect at the time. Tail may grant, deny or withdraw the badge in its discretion.

13.2 The "Verified" badge is not a guarantee, certification or representation by Tail as to the quality of the Supplier's products, its solvency, financial or operational capacity, legal standing or regulatory compliance. Buyers and Suppliers must perform their own due diligence.

13.3 The Supplier may not present the badge outside the Platform as an endorsement or certification by Tail.

14. Fees

14.1 Registration for and use of the Supplier portal are currently free of charge.

14.2 Tail may introduce fees, subscription plans, commissions or paid services, or change any existing fee, by giving the Supplier at least thirty (30) days' prior notice by email and/or through the Platform. The notice will state the amount, billing frequency, payment method and effective date.

14.3 Tail will not charge the Supplier any amount without first giving such thirty (30) days' prior notice. Fees will not apply retroactively. If the Supplier does not agree to the new fees, it may close its account before the effective date without any penalty.

15. Confidentiality of Buyer RFX Information

15.1 The Supplier will treat as confidential all Buyer RFX Information and any other non-public information of Tail or Buyers to which it has access through the Platform ("Confidential Information").

15.2 The Supplier will use Confidential Information solely to evaluate and respond to the relevant RFX and, if applicable, to perform its contract with the Buyer; will not disclose it to third parties other than its employees, advisors and subcontractors who need to know it and are bound by confidentiality obligations at least as strict; and will protect it with at least a reasonable degree of care.

15.3 Confidential Information does not include information that (a) is or becomes public through no fault of the Supplier, (b) was lawfully known to the Supplier beforehand, (c) is lawfully received from a third party without a duty of confidentiality, or (d) is independently developed. The Supplier may disclose it if required by law or a competent authority, after giving prior notice (where legally permitted).

15.4 Any specific confidentiality agreement between the Buyer and the Supplier prevails to the extent it is stricter. These obligations survive for two (2) years after the Supplier's account is closed and, for trade secrets, for as long as they remain trade secrets.

16. Data protection

16.1 Tail's processing of personal data is governed by our Privacy Policy, available at https://www.tailsourcing.com/legal/privacy. Tail processes the contact data of the Supplier's representatives and users (for example, name, job title, email and phone number) to administer the account, operate the Platform, facilitate communication with Buyers, meet legal and compliance obligations (including sanctions screening) and send service-related communications.

16.2 The Supplier represents that it has the necessary legal basis (including, where applicable, prior consent or authorization) and has informed the employees and representatives whose data it shares with Tail about such processing, including the possible international transfer of their data to the United States and other countries where Tail or its providers operate.

16.3 Suppliers in Latin America. For Suppliers located in Colombia, processing will comply with Statutory Law 1581 of 2012 and its implementing regulations (including Decree 1377 of 2013, compiled in Decree 1074 of 2015). For Suppliers located in Mexico, processing will comply with the Federal Law on the Protection of Personal Data Held by Private Parties (LFPDPPP) in force and its applicable regulations. Data subjects may exercise their rights (e.g., to access, update, rectify, delete or object; ARCO rights) as described in the Privacy Policy and by writing to sales@tailsourcing.com.

16.4 The Supplier is responsible, as an independent controller, for the personal data it processes on its own behalf, including Buyer data it accesses through the Platform, and must process such data in accordance with applicable law and only for the purposes of its business relationship with the relevant Buyer. The Supplier will not use contact data obtained on the Platform to send unsolicited commercial communications unrelated to that relationship.

16.5 The Supplier will implement reasonable technical and organizational security measures and will notify Tail without undue delay of any security incident affecting data obtained through the Platform.

17. Anti-bribery and anti-corruption

17.1 The Supplier will comply with all applicable anti-corruption and anti-bribery laws, including the U.S. Foreign Corrupt Practices Act (FCPA) and applicable local laws (for example, in Colombia, Law 1778 of 2016 and the Anti-Corruption Statute; in Mexico, the General Law of Administrative Responsibilities and the Federal Criminal Code).

17.2 The Supplier will not, directly or indirectly, offer, promise, give, request or accept any payment, gift, kickback, bribe or other improper advantage to or from employees of Tail or Buyers, public officials or any other person in order to obtain or retain business or influence the award of an RFX.

17.3 The Supplier will also comply with applicable anti-money-laundering and counter-terrorist-financing laws and will report any request for or suspicion of misconduct to sales@tailsourcing.com.

18. Suspension and content removal

18.1 Tail may, with or without prior notice, suspend or restrict the Supplier's access to all or part of the Platform, withdraw the "Verified" badge, or hide or remove Supplier Content if: (a) the Supplier breaches these Terms or the law; (b) there is reasonable suspicion of fraud, IP infringement, sanctions risk, or risk to Buyers, third parties or Tail; (c) a competent authority requires it; or (d) the Supplier fails to respond to reasonable requests for information or documentation.

18.2 Where reasonable and legally permitted, Tail will inform the Supplier of the reason and give it an opportunity to cure.

19. Termination

19.1 Either party may terminate the relationship governed by these Terms at any time and for any reason. The Supplier may do so by closing its account or writing to sales@tailsourcing.com; Tail may do so by notifying the Supplier by email or through the Platform.

19.2 Termination does not affect (a) binding quotes already submitted and accepted, or contracts already formed between the Supplier and Buyers, which remain governed by their own terms; (b) accrued fees, if any; or (c) provisions that by their nature should survive, including Sections 9.3, 9.4, 12, 13.2, 15, 16, 17, 20, 21, 22, 25 and 26.

20. Disclaimers

20.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TAIL MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

20.2 Tail does not warrant that the Platform will be uninterrupted, secure or error-free; the accuracy of information provided by Buyers; the identity, solvency or compliance of any Buyer; or any volume of business, sales or awards.

21. Limitation of liability

21.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAIL AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITIES, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

21.2 TAIL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES ACTUALLY PAID BY THE SUPPLIER TO TAIL IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

21.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for willful misconduct or fraud.

22. Indemnification by Supplier

22.1 The Supplier will defend, indemnify and hold harmless Tail and its affiliates, officers, employees and agents from and against all claims, demands, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Supplier Content, including any infringement of third-party intellectual property rights; (b) the Supplier's products or services, including defects, personal injury, property damage, recalls, labeling or regulatory non-compliance; (c) any contract or dispute between the Supplier and a Buyer; (d) the Supplier's breach of these Terms or the law, including sanctions, export control, anti-corruption and data protection laws; or (e) negligent or willful acts or omissions of the Supplier or its personnel.

22.2 Tail will promptly notify the Supplier of the claim, allow the Supplier to control the defense (provided the Supplier may not settle in a way that imposes obligations on Tail without Tail's prior written consent) and reasonably cooperate at the Supplier's expense. Tail may participate with counsel of its choice at its own cost.

23. Changes to these Terms

23.1 Tail may modify these Terms. We will post the updated version at https://www.tailsourcing.com/legal/supplier-terms with a new version number and date. For material changes, we will notify the Supplier at least thirty (30) days in advance by email and/or through the Platform, unless the change is required for legal, regulatory or security reasons, in which case it may take effect sooner.

23.2 Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If the Supplier does not agree, it must stop using the Platform and close its account before that date.

24. Electronic acceptance and versioning

24.1 The Supplier accepts these Terms electronically by checking the acceptance box, clicking the corresponding button during registration, or using the Platform. Such acceptance has the same effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transaction Act as adopted in Florida and other applicable laws.

24.2 Tail will keep a record of the version accepted, the date and time of acceptance and the user account that accepted it. Each version of these Terms is identified by a version number and publication date at the top. The Supplier may request a copy of the version it accepted by writing to sales@tailsourcing.com.

24.3 The Supplier agrees to receive notices and communications from Tail electronically, at the email address registered to its account or through the Platform.

25. Governing law, jurisdiction and jury trial waiver

25.1 These Terms are governed by the laws of the State of Florida, USA, and applicable U.S. federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

25.2 Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, USA. The parties submit to the personal jurisdiction of those courts and waive any objection to jurisdiction or venue.

25.3 JURY TRIAL WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY AND IRREVOCABLY WAIVES ITS RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.

26. General provisions

26.1 Relationship of the parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise or employment relationship.

26.2 Assignment. The Supplier may not assign these Terms without Tail's prior written consent. Tail may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

26.3 Severability and waiver. If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a right is not a waiver of it.

26.4 Force majeure. Neither party is liable for failures caused by events beyond its reasonable control.

26.5 Entire agreement. These Terms, together with the Privacy Policy and any other document incorporated by reference, constitute the entire agreement between the parties on their subject matter.

26.6 Language. These Terms are published in Spanish and English. In case of any discrepancy between the two versions, the English version prevails.
